Visa’s initial public offering

Visa is getting headlines with its initial public offering (IPO) that could very well be the largest in US history. New investors might be wondering how IPOs work and how they might get in on the action.

I wondered too, and got a reality check for my efforts.

IPOs aren’t for small time retail investors like you and me. To understand, here’s my layman’s explanation of what happens at a company’s initial public offering.

One of the ways a company can raise money is to go public and sell its shares. To do so, it visits an investment bank. The company hammers out a deal with the investment bank on what types of shares are to be sold, how much money to raise, etc.

One strategy to raise money is called a best efforts commitment through which the bank ramps up the marketing hype and takes a commission on the shares sold. However, it does not guarantee the amount of money to be raised.

Another method is called a firm commitment whereby the bank guarantees the money by buying the company’s shares to later resell to the public for a higher price. Since the risk is high for one bank to bare, it forms a syndicate with other investment banks for a share of the profits.

Finally, does the initial public offering actually trickle to the general public? Not unless you’re a “very good customer” with one of the syndicate banks. The fact is, IPOs are marketed to the institutional investors who have huge amounts of money to invest.

So, if you’re interested in Visa, wait awhile and sit tight. IPOs are generally a strange beast in that there’s lots of hype drummed up by the bank underwriters. Since the general public can’t get their hands on hot IPOs, institutional investors sell their shares to us for a quick profit. They take advantage of the feeding frenzy only to repurchase the shares when things have settled. Does Lululemon ring a bell?

Visa is an iconic name but for now, I’m not going to give it the credit it deserves. It will be interesting to see how this one plays out.

Game of Survivor in the work place

I have expressed my opinion on the importance of soft skills in the work place before. I have also been baffled by how people can actually keep their jobs given their lack of technical skills. I conclude then that they must have other redeeming qualities.

Given that human interaction is a vital part of career survival, should soft skills be officially recorded – let’s say as part of a student’s transcript?

As reported by BusinessWeek, the University of Wisconsin is contemplating the idea. It is considering a secondary transcript based on communication and leadership to accompany the academic transcript.

While I agree that job recruiters should not hire based on grades alone, looking at extra-curricular activities won’t paint the complete picture either.

One such recruiter looked for:

candidates who have participated in student organizations, athletics, or community services; demonstrated leadership; communicate well; have a strong work ethic; think on their feet; and are flexible.

Dang… Given those criteria, I’d be unemployed.

It’s been a few seasons since I last watched the reality TV show Survivor. However, as aggravating as the show is, I do believe it reflects on the realities of life: a bunch of Type-A personalities will eventually cannibalize each other be they jocks or brainiacs.

So who wins out?

With a dash of luck, it’s always the under the radar (UTR) player who is crafty enough to support the leaders while keeping his/her mouth shut. The UTR player does not attract attention but is sociable enough to get along with others. As well, this type of player performs just enough chores to be seen as valuable but refuses to take on the mantle of camp slave.

These secret ninja skills cannot be measured in any transcript.

Superhero leaders are important as they are figureheads who thrive in the spotlight and in the heat. But in an age where there is no job loyalty, do you really want to recruit overachievers who have short shelf lives as their egos look towards bigger and better things? I’d rather have my army of quietly efficient UTR players.

Knockoffs – should they knock it off?

The Plagiarius Awards were given out recently to “celebrate” the year’s best knockoffs. The point of this pseudo award is to shame counterfeit companies and to bring consumer awareness to… some very good stuff?!

Let’s get this out of the way first: plagiarism is bad. It undercuts the original company’s profits. However, I can’t be puritan enough to say that I’ve never worn some knockoff or another. In fact, I don’t think the immorality has set in for the general public.

Let’s look at the tv show Entertainment Tonight. One year, Halle Berry wore a stunning wine colored dress to the Oscars. The next day, ET had a snippet on how you can buy the gown for a fraction less. I think they have this knockoff segment every year. Now, is it the same designer offering a cheaper version of his/her one of a kind dress? It would be a good ploy, but it would still perpetuate the stigma of getting away with something for a cheaper price.

Then there’s the whole piracy issue of software and movies. Truth be told, when I was working as a programmer, we were ecstatic that our program had been cracked. It meant that it was useful and we were just hoping to get it mainstream enough so companies would buy legitimate licenses.

The issue with movies? There has to be a happy medium between a $10 ticket and a shaky camcorder recording. The big studios are finally getting it – or at least wanting to stop the bleeding. Apple is renting out movies and just signed a deal to offer American Idol performance downloads. I think given the same convenience of doing the right thing or the wrong thing, most would opt for the peace of mind at the cost of a few bucks more.

As they say, imitation breeds innovation. Other than for health and safety reasons which should never be compromised, companies should review what their competition is doing and be more pragmatic with their business models and readjust as they see fit.
